BGC Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. WHEN YOU USE OUR SITE OR ANY OF OUR PRODUCTS AND SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND ALL TERMS INCORPORATED BY REFERENCE, INCLUDING WAIVING YOUR RIGHTS TO A JURY TRIAL AND TO BRING A CLASS ACTION AGAINST US. DO NOT USE OUR SITE OR OUR PRODUCTS AND SERVICES IF YOU CANNOT AGREE TO ALL OF THESE TERMS AND CONDITIONS.

These Terms and Conditions (“Terms and Conditions”) apply to your use of the website (the “Site”) operated by Brookshire Grocery Company, including its banners, Brookshire’s, FRESH by Brookshire’s, Super 1 Foods, Reasor’s and Spring Market, (together, “Brookshire’s”) as well as products and services offered by Brookshire’s and available or enabled through the Site, including mobile applications, texting services, and other information and services of general interest to Brookshire’s customers (collectively, “Products and Services”). Any reference to the “Site” in these Terms and Conditions shall include and incorporate all “Products and Services” as defined above.

Consent to Terms and Conditions

You must be at least 18 years of age to use the Site. If you are under the age of 18, you may use the Site only with the express permission of your parent or legal guardian.

Read this agreement carefully and completely before using the Site. By using the Site, you agree to our Terms of Use, and you agree that our Terms of Use create a legally binding agreement between you and Brookshire’s. If you do not agree with the Terms of Use, including any specific term, you are not authorized to use the Site for any purpose, and you should immediately discontinue any use of the Site.

Changes to the Terms and Conditions

Brookshire’s reserves the right to change the Terms and Conditions at any time and for any reason or no reason. We post any amended Terms and Conditions here, indicating in the document the date the Terms and Conditions were last changed. Any time you use our Site, you agree to be bound by the Terms and Conditions posted at the time of your use. You should periodically review the Terms and Conditions to ensure you understand the latest version. In the event of a conflict between any provision of the Terms and Conditions and any other policy or term of use applicable to any other website operated by Brookshire’s, the Terms and Conditions shall apply unless otherwise stated.

All content, information, material, software, products, or services utilized on or made available through the Site (collectively “Content”) is the sole property of Brookshire’s or its content suppliers or vendors and is subject to trademark, service mark, copyright, and other intellectual property or proprietary rights held by Brookshire’s or its content suppliers or vendors and is protected by United States and international trademark and copyright laws. All Content on the Site not owned by Brookshire’s is the property of or is used under license from their respective owners, who may or may not be affiliated with, connected to, or sponsored by Brookshire’s. Except as provided herein or as permitted by applicable law, you may not upload, post, reproduce, or distribute in any way the Content protected by trademark, service mark, copyright, or any other intellectual or proprietary right, without obtaining express permission of the owner of the protected right. No title, rights, or interests in any downloaded materials from the Site are afforded to you as a result of such downloading for personal, noncommercial use. You acknowledge that these rights are valid and protected in all forms, media, and technologies existing now or hereinafter developed.


Notice and Procedure for Making Claims of Copyright Infringement


If you believe that your work has been copied on the Site in a way that constitutes copyright infringement, please provide Brookshire’s a written notification containing the information specified below. To notify Brookshire’s, please direct written notification to the following address: Brookshire Grocery Company, Attn: Legal Department, P.O. Box 1411, Tyler, Texas 75710. Please note that this procedure is exclusively for notifying Brookshire’s that your copyrighted material has been infringed; you may also be required to provide written notification to content suppliers and vendors for the Site. Information to provide: 1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; 2. A description of the copyrighted work that you claim has been infringed upon; 3. A description of where the material that you claim is infringing is located on the site, including the auction ID number, if applicable; 4. Your address, telephone number, and e-mail address; 5. A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; 6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.


Restrictions on Use of the Site and its Content


The Site and its Content are intended for your personal, non-commercial use only. Except as permitted herein and as may be specifically agreed in writing by Brookshire’s, no Content from the Site may be used, reproduced, transmitted, distributed, downloaded, displayed, modified or otherwise exploited in any way, except that where the Site is intentionally and specifically configured to enable the viewing or downloading of particular Content, visitors may view and download one copy of such Content to a single computer for the visitor’s personal use only, provided that visitors (a) keep intact all copyright, trademark, and other proprietary notices, (b) make no modifications to the Content, and (c) do not use the Content in a manner that suggests an association with any of Brookshire’s services or brands. All users agree to refrain from copying, modifying, reverse engineering, decompiling, or disassembling any software code included in the Content.


License and Access to the Site


Except as specifically permitted by the Terms and Conditions, using the Site does not confer, by implication, estoppels, or otherwise, any ownership right or license to the Site as a whole or to any individual elements of the Site, without regard to whether such elements are subject to copyright, trademark, or other proprietary protection. Brookshire’s grants you a limited, non-exclusive, non-transferable, revocable license to access and make personal use of the Site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Brookshire’s. This license does not include any resale or commercial use of the Site or its Contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Site or its Contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, data scraping, robots, or similar data gathering and extraction tools. The Site, including any portion of the Site, may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Brookshire’s. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Brookshire’s without express written consent. You may not use any meta tags or any other “hidden text” utilizing Brookshire’s name or trademarks without the express written consent of Brookshire’s. Any unauthorized use terminates the permission or license granted by Brookshire’s. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of the Site so long as the link does not portray Brookshire’s or the Site in a false, misleading, derogatory, or otherwise offensive matter. You may not use any Brookshire’s logo or other proprietary graphic or trademark without express written permission.


Reviews, Comments, Communications, and other Content


You may not submit or post any materials to the Site if doing so would be unlawful or would violate or infringe the rights of any person or entity. If you submit or post any materials to the Site, you represent and warrant to Brookshire’s that you have the legal right to submit or post such materials and that submitting or posting such materials will not violate any law or the rights of any person or entity. You may not submit or post any materials to the Site that (a) are defamatory, obscene, pornographic, vulgar, threatening, harassing, violent, or otherwise objectionable; (b) encourage unlawful, tortious, or unsafe conduct; (c) advertise goods or services; (d) solicit funds; (e) advocate for any political candidate or position; or (f) are chain letters, mass mailings, or “spam.” You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content. By submitting or posting materials to the Site, you give Brookshire’s the royalty-free, irrevocable, perpetual, worldwide right to use, distribute, display and create derivative works from such materials, in any and all media, in any manner, in whole or in part, without any restriction or responsibilities to you. Brookshire’s has the right, but not the obligation, to screen materials submitted or posted to the Site by third parties, and to remove or edit any such materials for any reason and without notice. Brookshire’s takes no responsibility and assumes no liability for any content posted by you or any third party.


Electronic Communications


When you send email or other electronic communications to Brookshire’s, you are communicating with us electronically and consent to receive return communications, if any, from Brookshire’s electronically. You agree that all agreements, notices, disclosures, and other communications that Brookshire’s may provide to you electronically satisfy any legal requirement that such communications be in writing.


Limitations on Liability and Remedies


TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, BROOKSHIRE’S SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES WHATSOEVER, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY, OR OTHER DAMAGES (INCLUDING ATTORNEYS’ FEES AND LOST PROFITS OR SAVINGS) IN ANY WAY DUE TO, RESULTING FROM, OR CAUSED BY (I) YOUR ENROLLMENT AND/OR PARTICIPATION IN ANY BROOKSHIRE’S PROGRAM, (II) ANY PRODUCTS OR SERVICES DELIVERED, PURCHASED, OR USED, (III) ANY CLAIM ATTRIBUTABLE TO ANY ERROR, OMISSION, OR OTHER INACCURACY IN THE INFORMATION OR CONTENT PROVIDED BY BROOKSHIRE’S AND/OR THROUGH THE SITE, (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, OR (V) ANY OTHER MATTER RELATING TO YOUR USE OF THE SITE.


IF YOU ARE DISSATISFIED WITH YOUR USE OF THE SITE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE. APLICABLE LAW MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, BROOKSHIRE’S LIABILITY IS LIMITED AND ALL WARRANTIES ARE EXCLUDED TO THE GREATEST EXTENT PERMITTED BY LAW, AND BROOKSHIRE’S LIABILITY SHALL IN NO EVENT EXCEED ONE HUNDRED DOLLARS ($100).


Indemnification


YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS BROOKSHIRE’S, ITS BUSINESS PARTNERS, LICENSORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND ANY THIRD-PARTY VENDORS FROM AND AGAINST ALL CLAIMS, LOSSES, EXPENSES, DAMAGES, AND COSTS (INCLUDING DIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, AND INDIRECT DAMAGES), AND REASONABLE ATTORNEYS’ FEES, RESULTING FROM OR ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE SITE, ANY PRODUCT OR SERVICE PROVIDED BY BROOKSHIRE’S, AND/OR ANY VIOLATION BY YOU OF THESE TERMS AND CONDITIONS. YOU AGREE TO COOPERATE WITH BROOKSHIRE’S DEFENSE OF ANY CLAIM. YOU WILL NOT SETTLE ANY CLAIM WITHOUT THE PRIOR WRITTEN CONSENT OF BROOKSHIRE’S.


Choice of Law


The Terms and Conditions shall be governed by, and will be interpreted according to, the laws of the State of Texas, United States, without regard to any conflict-of-law provisions. Jurisdiction and venue shall lie in the Federal and State courts in Smith County, Texas, United States. By using the Site, you consent to the exclusive jurisdiction of these courts, and you waive any objection you may have to the forum and venue of these courts in proceedings arising out of or in connection with the Terms and Conditions.


Waiver of Jury Trial and Class Action Claims


EACH PARTY, ON BEHALF OF ITSELF AND ANY PERSON CLAIMING BY OR THROUGH IT, KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES THE RIGHT IT MAY HAVE TO A TRIAL BY JURY WITH RESPECT TO ANY LITIGATION BASED UPON THESE TERMS AND CONDITIONS, OR ARISING OUT OF, UNDER, OR IN CONNECTION WITH THESE TERMS AND CONDITIONS, OR ANY COURSE OF DEALING, STATEMENTS, WHETHER VERBAL OR WRITTEN, OR ACTION OF OR BY A PARTY OR ANY OF THEIR RESPECTIVE AFFILIATES TO THE FULLEST EXTENT PERMITTED BY LAW. EACH PARTY (both you and your affiliates, on one hand, and Brookshire’s and its affiliates on the other hand), ON BEHALF OF ITSELF AND ANY PERSON CLAIMING BY OR THROUGH IT, KNOWINGLY, VOLUNTARILY AND INTENTIONALLY agree that any claims or controversies between the parties must be brought against each other on an individual basis only and agree to expressly waive any rights to file a claim or seek relief as a plaintiff or class member in a class action, consolidated action, or representative action in any jurisdiction or forum. THIS PROVISION IS A MATERIAL INDUCEMENT FOR THE PARTIES TO ENTER INTO THESE TERMS AND CONDITIONS.


Legal Disclaimers


ALTHOUGH BROOKSHIRE’S RESERVES THE RIGHT TO CORRECT ANY ERRORS, OMMISSIONS, OR INACCURACIES, BROOKSHIRE’S DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION OR CONTENT PROVIDED BY BROOKSHIRE’S OR THROUGH THE SITE, OR THAT ANY ERROR, OMMISSION, OR INACCURACY WILL BE CORRECTED. BROOKSHIRE’S DOES NOT WARRANT THAT THE FUNCTIONS PERFORMED BY THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR WITHOUT ERROR, OR THAT DEFECTS IN THE SITE WILL BE CORRECTED. THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. BROOKSHIRE’S MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS, OR ENDORSEMENTS WHATSOEVER WITH RESPECT TO ANY INFORMATION, CONTENT, OR SERVICE PROVIDED BY OR THROUGH THE SITE, PRODUCTS AND SERVICES, OR BROOKSHIRE’S STORES. BROOKSHIRE’S DISCLAIMS ANY AND ALL RESPONSIBILITY FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM, ARISING OUT OF, OR IN ANY WAY RELATED TO ANY THIRD PARTY WEBSITES OR CONTENT THEREIN DIRECTLY OR INDIRECTLY ACCESSED THROUGH THE SITE, INCLUDING ANY ERRORS IN OR OMISSIONS IN THE SITE.


Mobile Applications and Texting Services


Mobile Application Users: With respect to each of Brookshire’s mobile applications (each an “App”), when you download the App or you create an account on the App, by selecting “I agree to the Terms and Conditions” and “I also understand the Privacy Policy” (or similar acknowledgements) you are expressly agreeing that you have read, understand, and agree to be bound by the Terms and Conditions and any amendments thereto. Brookshire’s makes the App available so that our customers may access Products and Services via a mobile device. To use the App you must have a mobile device that is compatible with the mobile service. Brookshire’s does not warrant that the App will be compatible with your mobile device. Brookshire’s hereby grants to you a limited, non-exclusive, non-transferable, revocable license to use an object code copy of the App for one registered account on mobile devices owned or leased solely by you for your personal use. You may not: (i) modify, disassemble, decompile, reverse engineer, or create derivative works of the App, except to the extent that such restriction is expressly prohibited by law; (ii) rent, lease, loan, resell, sublicense, distribute, or otherwise transfer the App to any third party or use the App to provide services for any third party; (iii) copy, reproduce, republish, upload, post, transmit, or distribute the App; (iv) remove, circumvent, disable, damage, or otherwise interfere with security-related features of the App, features that prevent or restrict use or copying of any content accessible through the App, or features that enforce limitations on use of the App; or (v) delete the copyright and other proprietary rights notices on the App. You acknowledge that Brookshire’s may issue upgraded versions of the App and may automatically electronically upgrade the version of the App that you are using on your mobile devices. You consent to such automatic upgrading on your mobile devices and agree that the Terms and Conditions will apply to all such upgrades. The foregoing license grant is not a sale of the App or any copy thereof, and Brookshire’s and its third-party licensors or suppliers as applicable retain all right, title, and interest in and to the App (and any copy of the App). Standard carrier data charges may apply to your use of the App.


Apple Users: With respect to any App that Brookshire’s provides to you designed for use on an Apple iOS-powered mobile device (an “iOS App”), the Terms and Conditions incorporate by reference the terms and conditions of the “Standard” Licensed Application End User License Agreement (“LAEULA”) published by Apple, Inc. (www.apple.com/legal/macapps/dev/stdeula). For purposes of the Terms and Conditions, Brookshire’s iOS App is considered the “Licensed Application,” and Brookshire’s is considered the “Application Provider” under the LAEULA. To the extent that the Terms and Conditions conflict with any of the terms and conditions of the LAEULA, these Terms and Conditions shall control.

Thank You Card Program


Enrollment: You may obtain a Thank You Card by creating a new account on brookshires.com or downloading the App. Membership in Brookshire’s Thank You Card program is free – there is no cost to you to enroll. You must be at least 18 years of age to enroll in the Thank You Card program. If you would like a member of your household under the age of 18 to participate in the Thank You Card program, you may request that we issue him or her a Thank You Card that accesses your account and you will be responsible for the use of the card and account by that person. By enrolling or participating in our Thank You Card program and providing personally identifiable information to Brookshire’s, you are agreeing to the terms and practices set forth in here and to the collection and use of the information described here and in any other information we provide to you about the Thank You Card program. If you have any objections to these Terms and Conditions or any other relevant terms, you should immediately discontinue use of your Thank You Card. You may also delete any information submitted to Brookshire’s through the Thank You Card program by using a change form available at store offices in our physical locations or by notifying us using the contact information provided below.


How to Use: To use your Thank You Card, simply hand the cashier your Thank You Card or provide the cashier with your telephone number, which you provide during your account creation. You may also use your Thank You Card at any self-checkout lane by following the prompts. Applicable discounts will be shown on the bottom of your receipt.


Thank You Card Benefits: To be eligible to receive Thank You Card benefits you must enroll in Brookshire’s Thank You Card program and use your Thank You Card or Thank You Card key tag at participating Brookshire’s stores. When you use your Thank You Card or Thank You Card key tag, in addition to receiving advertised specials, you may also receive special offers such as discounts and free offers on products you regularly purchase. To receive Thank You Card benefits that are available to you only by email, you must create an online account by registering your email address online by visiting Brookshire’s website. If you reach certain spending levels during specified periods, you may also be eligible to receive discount coupons for groceries or gifts, or chances to enter special sweepstakes. Use of a registered Thank You Card may also enable you to participate in Brookshire’s YourPoints Program and earn YourPoints on many purchases. Additional details about Thank You Card benefits are available on the Brookshire’s website.

YourPoints Fuel and Grocery Discount Program


The YourPoints Fuel and Grocery Discount Program (“YourPoints Program”) is administered and operated by Brookshire’s. The YourPoints Program is a benefit and reward available to eligible Brookshire’s customers enrolled in its Thank You Card program. Eligible customers may earn YourPoints Program Points (“YourPoints”) when they purchase qualified non-fuel items at participating Brookshire’s retail locations and may redeem YourPoints to receive discounts on fuel and grocery purchases. See https://www.brookshires.com/sm/pickup/rsid/1928/yourpoints for more details. YourPoints Program participants are subject to these Terms of Use.


There are special terms and practices that apply when you enroll in Brookshire’s Thank You Card program and use Brookshire’s Thank You Card at participating Brookshire’s retail locations. By using your Thank You Card and participating in the YourPoints Program, you are agreeing to any program terms and to these Terms of Use. If you have any objections to either, you should immediately discontinue participation in the YourPoints Program.


How to Earn YourPoints: You must be at least 18 years of age to participate in the YourPoints Program. You are entitled to earn YourPoints only when you purchase qualified non-fuel items from participating Brookshire’s Food Stores or fuel kiosks, Brookshire’s Express Lanes stores, or Brookshire’s Zippy B stores, and you present your valid Thank You Card or other required information regarding your Thank You Card account, such as the telephone number you provided at enrollment, at the time of purchase.


You will earn YourPoints equal to the amount spent on qualified non-fuel items only when you use your Thank You Card account, excluding any applicable sales tax or other tax required by law. For example, if you spend $1.67, excluding applicable taxes, on qualified non-fuel items using your Thank You Card, you will have earned 1.67 YourPoints. Qualified non-fuel items purchased also with a paper or printed store or manufacturer coupon (excludes coupons loaded electronically to your Thank You Card) will earn YourPoints for the amount paid for such item and the value of such coupon. Qualified non-fuel items purchased also with an electronic discount offer or coupon loaded directly to your Thank You Card will earn YourPoints only for the amount paid for such item. There is no limit on the number of YourPoints you can earn or accumulate. Unless cancelled or terminated earlier, YourPoints expire at 11:59 PM CST, one calendar month from the last day of the month in which the YourPoints were earned. For example, YourPoints earned on April 16 will expire at 11:59 PM CST on May 31.


You will NOT earn YourPoints on the purchase of the following items: Fuel (all grades), tobacco, alcohol, pharmacy prescriptions,  Brookshire’s Gift Cards, Western Union money orders, other money transfer services, postage stamps, lottery tickets, event or entertainment tickets, bill pay, check cashing, or other store office service items or fees, rental, deposit, or exchange fees, charitable donations, items purchased without using your valid Thank You Card, items purchased at any non-participating Brookshire’s retail location, and any other item excluded from YourPoints by Brookshire’s in its sole discretion or by law.


YourPoints Fuel Rewards: The YourPoints fuel discount allows you to receive a discount of 10¢ per gallon at participating Brookshire’s, Super 1 Foods, or Fresh by Brookshire’s fuel centers. YourPoints can only be redeemed for a fuel discount at your election and after you have accumulated 100 YourPoints (and thereafter only in increments of 100 YourPoints). You will be responsible for any applicable sales tax or other tax required by law on your fuel transaction.


To redeem YourPoints for a fuel reward, you must present your Thank You Card, or required information identifying your Thank You Card account, at the time of fuel purchase. All available YourPoints in your Thank You Card account will automatically be applied to the fuel transaction in increments of 100 by reducing the per gallon price of fuel by the amount of the YourPoints fuel discount you have earned prior to dispensing fuel.


In Texas and Arkansas, for each increment of 100 YourPoints redeemed, 10¢ off per gallon will be awarded. Subject to certain limitations, you may redeem multiple increments of 100 YourPoints in a single fuel transaction. Redemption of YourPoints for a fuel discount will be limited to a maximum discount of $1.00/gallon per fuel transaction. The value of YourPoints redeemed may not be greater than the per gallon price for fuel.


For example:

  • 100 YourPoints = 10¢ per gallon fuel discount
  • 500 YourPoints = 50¢ per gallon fuel discount
  • 1000 YourPoints = $1.00 per gallon fuel discount

In Louisiana, for each increment of 100 YourPoints redeemed, 10¢ off per gallon will be awarded; there is a limit of 100 YourPoints that can be redeemed in a single fuel transaction.

For example:

  • 100 YourPoints = 10¢ per gallon fuel discount

Fuel discounts at all locations are limited to one vehicle and a maximum of 30 gallons per fuel transaction; other limits may apply depending, for example, on the type of fuel pump accessed or whether restrictions have been placed on your payment card by your financial institution.


YourPoints Grocery Rewards: The YourPoints grocery discount allows you to receive a discount of five percent (5%) on qualified non-fuel purchases at participating Brookshire’s Food Stores. YourPoints can only be redeemed for a grocery discount once you have accumulated 500 YourPoints, and you may redeem only 500 YourPoints in a single grocery transaction. You may earn and redeem YourPoints in the same grocery transaction. You will be responsible for any applicable sales tax or other tax required by law.


For example:

  • 500 YourPoints = 5% grocery transaction discounts

To redeem YourPoints for a grocery reward, you must present your Thank You Card, or required information identifying your Thank You Card account, at the time of purchase of qualified non-fuel products. At your election, if you have accumulated 500 YourPoints you may apply YourPoints to that grocery transaction, including YourPoints earned in the same grocery transaction, to reduce the cost of qualified non-fuel purchases by the amount of the YourPoints grocery discount.


You may NOT redeem YourPoints on the purchase of the following items: Tobacco, alcohol, milk and dairy products (Louisiana only), pharmacy prescriptions, Brookshire’s Gift Cards, other merchant or third-party gift cards or prepaid services, Western Union money orders, other money transfer services, postage stamps, lottery tickets, event or entertainment tickets, bill pay, check cashing, or other store office service items or fees, rental, deposit, or exchange fees, items purchased without using your valid Thank You Card, items purchased at any non-participating Brookshire’s retail location, and any other item excluded from YourPoints by Brookshire’s in its sole discretion or by law.


Checking the balance of YourPoints: You alone are responsible for checking your YourPoints balance regularly to ensure that you are properly credited for all YourPoints earned. YourPoints that you accrue automatically post to your Thank You Card account at the time they are earned. Your current YourPoints balance is available (1) online by accessing your Thank You Card account at brookshires.com, (2) through the App downloaded to your personal electronic device, or (3) on the bottom of your most recent register receipt from a participating Brookshire’s retail location.


Adjustments to YourPoints: If you believe proper credit does not appear on your YourPoints balance or that some other adjustment is necessary, you must notify Brookshire’s within sixty (60) calendar days of the date YourPoints were earned and provide any requested documentation, such as a receipt, to verify your purchase. Brookshire’s reserves the right to determine in its sole discretion, and you agree such determination shall be final and binding, whether or not to adjust the YourPoints balance on your Thank You Card account, including lowering a YourPoints balance if documentation you submit indicates errors that resulted in Brookshire’s awarding too many YourPoints to your account.


Brookshire’s may refuse to record or honor any YourPoints in your Thank You Card account, or if already recorded, Brookshire’s may reverse, deduct, or cancel any YourPoints, if Brookshire’s cannot confirm that they were properly issued or obtained, or if they were earned on an item subsequently returned or exchanged for a non-qualifying item. In the case of any failure by you to follow these Terms and Conditions, or any other fraud or abuse related to the YourPoints Program, including engaging in a pattern of returning or canceling products or services after the corresponding YourPoints have been credited, Brookshire’s reserves the right, in its sole discretion, to make any adjustments to the YourPoints balance in your Thank You Card account at any time and to take appropriate administrative or legal action against you. In such a case, some or all of your YourPoints earned through the YourPoints Program may be forfeited and your Thank You Card account closed. Brookshire’s reserves the right to seek reimbursement from you for the cost of any YourPoints you receive upon redemption of YourPoints that are subsequently reversed, cancelled, or deducted from your Thank You Card account.


YourPoints Program Disclaimers: You acknowledge that in order to administer the YourPoints Program, Brookshire’s will collect information about you and your purchases from participating Brookshire’s retail and fuel locations. You authorize Brookshire’s to use and to disclose such information: (i) to Brookshire’s representatives and agents in order to administer the YourPoints Program; (ii) to third parties in connection with the administration of the YourPoints Program; (iii) to comply with requests, orders, or subpoenas as required by law or law enforcement; and (iv) otherwise in accordance with the terms of Brookshire’s Thank You Card Policy.


You are responsible for maintaining the confidentiality of your Thank You Card account information, and you agree that you are fully responsible for and agree to hold Brookshire’s harmless from all activities and use of such information that occurs under your Thank You Card Account.


Brookshire’s may, in its sole discretion, at any time and without prior notice: (i) discontinue all or any part of the YourPoints Program; (ii) change, discontinue, or limit your access to the YourPoints Program or any functionality, feature, or other component of the YourPoints Program, even if doing so may affect the number or value of YourPoints already accumulated; or (iii) suspend or terminate your use of or access to the YourPoints Program or your Thank You Card account.


If no YourPoints are recorded in your Thank You Card account for any consecutive 24-month period, or if you commit fraud, misrepresent any information, violate these Terms of Use or other terms, abuse your YourPoints Program privileges, or act in any other way to the detriment of Brookshire’s, its participating retail locations, merchants, or the YourPoints Program, Brookshire’s may do any combination of the following: (i) suspend your ability to earn or redeem YourPoints; (ii) cancel any YourPoints in your Thank You Card account; (iii) terminate your enrollment in the YourPoints program; or (iv) terminate your Thank You Card account.


You may close your Thank You Card account or delete associated account information at any time by notifying Brookshire’s. Upon closure, cancellation, deletion, or termination of your Thank You Card account or associated account information, any rights to redeem YourPoints from your Thank You Card account are forfeited. If any YourPoints expire or are cancelled or forfeited for any reason, they becomes void without compensation.


No YourPoints may be redeemed for any reward until they have been credited to your Thank You Card account. YourPoints and any reward are non-transferable, have no cash, monetary or other value, cannot be converted into any currency, and may be canceled at any time.


YOURPOINTS IS NOT A GIFT CARD OR GIFT CERTIFICATE.


The YourPoints Program is not valid where prohibited by law. THE INFORMATION, PRODUCTS, AND SERVICES, INCLUDING REWARDS, RELATING TO THE YOURPOINTS PROGRAM ARE PROVIDED ON AN “AS IS,” “WHERE IS,” AND “WHERE AVAILABLE” BASIS. BROOKSHIRE’S DOES NOT WARRANT THE INFORMATION, PRODUCTS, OR SERVICES, INCLUDING REWARDS, PROVIDED OR YOUR USE OF OR PARTICIPATION IN THE YOURPOINTS PROGRAM GENERALLY, EITHER EXPRESSLY OR IMPLIEDLY, FOR ANY PARTICULAR PURPOSE AND EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. BROOKSHIRE’S WILL NOT BE RESPONSIBLE FOR ANY LOSS OR DAMAGE THAT DOES OR COULD RESULT FROM ANY USE OR INTERCEPTION BY THIRD PARTIES OF THE INFORMATION, PRODUCTS, OR SERVICES, INCLUDING REWARDS, MADE AVAILABLE TO YOU AND RELATING TO THE YOURPOINTS PROGRAM. ALTHOUGH THE INFORMATION PROVIDED TO YOU AND RELATING TO THE YOURPOINTS PROGRAM IS OBTAINED OR COMPILED FROM SOURCES BROOKSHIRE’S BELIEVES TO BE RELIABLE, BROOKSHIRE’S CANNOT AND DOES NOT GUARANTEE OR WARRANT THE ACCURACY, VALIDITY, TIMELINESS, OR COMPLETENESS OF ANY INFORMATION OR DATA ABOUT OR MADE AVAILABLE TO YOU FOR ANY PARTICULAR PURPOSE.


Nothing in these Terms and Conditions shall be interpreted as granting any license or right to use any image, trademark, logo, or service mark related to Brookshire’s, the Thank You Card program, or the YourPoints Program without the express written consent of Brookshire’s.


Miscellaneous Provisions


The Terms and Conditions incorporate by reference any and all other notices or policies contained on the Site or otherwise provided to you and constitute the entire agreement with respect to your use of the Site. Headings used in the Terms and Conditions are for reference purposes only and in no way define or limit the scope of any section. Any failure on the part of Brookshire’s to exercise or enforce any right or provision of the Terms and Conditions or any other applicable term or policy shall not constitute a waiver of such right or provision. If any part of the Terms and Conditions or any other applicable terms or policy are found by a court of competent jurisdiction to be invalid, it is agreed we will endeavor to give effect to the intention of such provision by making reasonable modifications in the provision if practicable and that we will continue to honor all other terms and provisions of these Terms and Conditions or any other applicable terms or policy, which are intended to remain in full force and effect. Sweepstakes, giveaways, specials, sales, and other promotions may be subject to special terms and may be offered solely on our website, App, or in some or all of Brookshire’s stores.
